Berli Jucker keen to bid for Carrefour

Berli Jucker Plc is looking to bid for Carrefour's Thailand operations to help support its consumer products supply chain, according to BJC president Aswin Techajareonvikul.

BJC, 70% owned by Charoen Sirivadhanabhakdi's TCC Holding, has expanded rapidly in recent years through mergers and acquisitions. The company operates five core businesses: industrial supply chain, consumer goods, health care, technical services and international businesses.

"We are considering the [Carrefour] bid. It would certainly fit in with one of our current businesses, the consumer supply chain. Retailing is part of that supply chain," said Mr Aswin.

"Right now, we have a presence in the upstream side, such as potato farms for our potato chips, or cold-storage facilities. But what we lack is downstream, namely a distribution channel to consumers."
BJC, one of the country's oldest firms at 128 years, produces and distributes thousands of products, including Tasto chips, Cellox facial tissues and Dozo and Campus snacks.

"[Retail] would be a new business. We would be newcomers and would have a lot to learn. But there is the potential to create long-term value for our company," said Mr Aswin.

He said BJC had contacted Carrefour about its interest, and was waiting for more details about the bidding process and timetable.

"Right now, the whole thing still is uncertain. There's a 50-50 possibility of winning," said Mr Aswin.

Carrefour earlier this month announced it may divest its operations in Malaysia, Singapore and Thailand in order to refocus on its core markets.

In Thailand, Carrefour operates 40 stores, including 39 hypermarkets. Besides BJC, other potential buyers are reported to include the retailers Tesco Lotus and Big C, as well as other regional retailers and private equity investors. Carrefour's sales in Thailand last year were estimated at $800 million.

Mr Aswin said BJC was studying whether it would submit a bid for only the Thai branches or look to bid for Carrefour's Singapore and Malaysian operations as well. The French retailer operates two stores in Singapore and 19 in Malaysia.

Analysts estimate that the Thai assets could be sold for 15 to 20 billion baht. Mr Aswin said BJC had a number of possible financing options for the deal, including a capital increase, bond issues or a bank loan.

A successful bid would nearly double the size of the company. BJC posted first-quarter profits of 515 million baht on revenues of 6.17 billion, and assets as of March stood at 22.8 billion baht. The company reported 2009 profits of 1.26 billion baht on revenues of 23 billion.

Mr Aswin noted that historical EBITDA (earnings before interest, taxes, depreciation and amortisation) was around 3-4 billion baht per year. For 2010, the company is targeting 10% revenue growth.

BJC, which this week completed the acquisition of Malaya Glass Products in Malaysia, is now the largest manufacturer and marketer of glass packaging in the region, with five manufacturing plants in Thailand, Vietnam and Malaysia and a combined production capacity of 3,300 tonnes per day.

The Malaya Glass acquisition was done through BJC O-I Glass, a 50-50 joint venture between BJC and Owens-Illinois, the world's largest glass packaging manufacturer.

The company is also in the process of concluding an acquisition of a trading company in Vietnam, is working on setting up a tissue paper manufacturing plant and considering investing in the Vietnamese snack business.

He said the company would continue to look for acquisition opportunities that offered an internal rate of return of 10% or more over funding costs and synergies with the firm's existing operations.

BJC shares closed yesterday on the SET at 18.10 baht, up 30 satang, in trade worth 377 million baht.

3rd UPDATE: Leading Retailers Eye Carrefour SE Asia Assets - Sources

SINGAPORE (Dow Jones)--Leading supermarket chains are interested in the assets of French hypermarket Carrefour SA (CA.FR) in Singapore, Thailand and Malaysia, two people with direct knowledge of the deal said Tuesday.

"It's the big boys that are interested. Big C Supercenter PCL (BIGC.TH) and Tesco PLC (TSCO.LN) for the Thai assets; Tesco, Dairy Farm International Holdings Ltd.(D01.SG) and Japanese supermarkets for the Malaysia stores, and Tesco for Singapore," one of those people told Dow Jones Newswires.

A second person said if a single buyer emerges for all three countries "the deal will probably be wrapped up this year. If not, it could take a bit longer."A second person said if a single buyer emerges for all three countries "the deal will probably be wrapped up this year. If not, it could take a bit longer."

A third person said Monday that Carrefour was in the early stages of selling its stores in Thailand, Singapore and Malaysia and that if the sale goes through it could fetch the French retail giant up to US$1 billion.

Carrefour, Tesco, Dairy Farm and Big C all declined to comment.

A spokesman for Japanese supermarket AEON Co. Ltd (8267.TO)--which has bought the Japan assets of Carrefour--said he hasn't heard about any deal and had no further comment to make. An official from AEON's Malaysia unit declined to comment.

Carrefour Chief Executive Lars Olofsson in May said he was open to offers for the company's operations in markets where it isn't in the top two. Analysts have cited Thailand, Malaysia and Singapore as likely candidates.

Under Olofsson's direction, Carrefour has focused efforts on its key European markets of France, Spain, Italy and Belgium, where weak consumption is hurting business. France alone accounts for nearly half of the company's annual revenue.

Carrefour Said to Seek Buyers for Three Southeast Asia Units

July 6 (Bloomberg) -- Carrefour SA, the world’s second- biggest retailer, plans to exit Singapore, Malaysia and Thailand, and is seeking offers for its operations in the Southeast Asian countries, said four people familiar with the matter.

Carrefour has approached potential buyers and may ask for bids by early September, said two of the people, who declined to be identified because the sale process isn’t public. The combined operations may fetch $800 million to $1 billion, they said. Florence Baranes-Cohen, spokeswoman for Paris-based Carrefour, declined to comment.

The retailer will consider selling the units separately as potential buyers may not be interested in bidding for all three combined, according to two of the people. Carrefour’s Thai business may have a value of $500 million to $600 million, while the Malaysian and Singapore operations may be valued at $350 million to $400 million, the people said. Carrefour plans to retain its units in China and Indonesia, they said.

“It’s a positive move, in line with what the company has been doing,” Fabio Fazzari, an analyst at Equita Sim in Milan, said by telephone. “The new management is more focused on non- capital intensive retail. What they’ve been seeking to do for about a year now is get rid of all underperforming assets.”

Tesco Plc, the U.K.’s largest supermarket chain, Japan’s Aeon Co., Hong Kong’s Dairy Farm International Holdings Ltd. and Thailand’s Big C Supercenter Pcl may be putting in a bid, three of the people familiar with the matter said. South Korea’s Lotte Group was earlier approached to make a bid, they said.

Aeon, Tesco, Lotte

Aeon spokesman Eiichi Yamatani declined to comment, saying Japan’s second-largest retailer is “checking the situation.” Zhuang Nanbin, vice president for corporate affairs at Tesco China, wouldn’t comment on “market rumors.”

Both Lancy Ng, spokeswoman for Singapore-listed Dairy Farm, and Pimwanich Poolkasem, head of investor relations at Big C, declined to comment in phone interviews today.

Lotte Group isn’t considering a purchase of Carrefour’s assets, Lee Byung Hee, a Seoul-based spokesman, said by phone.

Carrefour is “obliged” to listen to offers for its businesses in markets where leadership is unattainable, Chief Executive Officer Lars Olofsson told shareholders in May. Asia was Carrefour’s smallest market by sales in 2009, accounting for about 7.5 percent of the total, according to the company’s website. France was the biggest, generating 43 percent, followed by the rest of Europe at 36 percent.

Carrefour plans to open 22 hypermarkets and 140 discount stores in China this year, Olofsson said in May. The retailer also intends to add 13 stores in Indonesia, where it recently sold a 40 percent stake to Trans Corp., a unit of Para Group.

Carrefour this year agreed to sell 40 percent of its Indonesian business to Trans Corp., forming a strategic partnership in the country. It didn’t disclose the price.

The retailer may opt for a franchise model in India, and plans to open its first wholesale outlet in New Delhi in the next few months, Jean Noel Bironneau, managing director of operations in the South Asian nation, said in May.
